Wholesale Policy

1. Eligibility and Account Approval

Wholesale accounts are available only to verified businesses and professional installers who purchase Amazing Garage Floors products for resale or for use in commercial projects. You may be required to provide a resale certificate, tax ID, business license, or other documentation we request.

All wholesale accounts are approved or declined at the sole discretion of Amazing Garage Floors. We may suspend or terminate any wholesale account at any time, with or without notice, for any reason, including inactivity, late payment, or violation of this policy or our other terms.

2. Wholesale Pricing and Confidentiality

Approved wholesale accounts receive access to wholesale pricing for eligible products. Wholesale pricing:

• Is confidential business information and may not be disclosed, published, or shared outside your organization.

• Is subject to change at any time, at our sole discretion, without prior notice (changes apply to future orders only).

• May vary by product line, order volume, territory, or account status.

You agree to maintain the confidentiality of all wholesale price lists, quotes, and discount structures.

3. Ordering, Minimums, and Availability

Amazing Garage Floors may establish minimum order quantities, minimum dollar amounts, or case/kit quantities for wholesale orders. We reserve the right to:

• Set opening order and re‑order minimums.

• Reject or modify any order that does not meet our requirements.

• Limit quantities or discontinue products at any time.

All orders are subject to product availability. We are not liable for delays or inability to supply products due to stock, manufacturer issues, or events beyond our control.

4. Payment Terms

Unless we approve written terms, all wholesale orders must be paid in full prior to shipment. Accepted payment methods will be specified in our ordering process or invoices.

If we extend payment terms to you (for example, Net terms), you agree to pay all invoices in full by the due date shown. Late payments may result in:

• Suspension of your wholesale pricing or account.

• Orders being held until payment is received.

• Late fees or interest where allowed by law.

You are responsible for any bank fees, chargebacks, or collection costs incurred due to non‑payment.

5. Shipping, Risk of Loss, and Returns

All shipping for wholesale orders is governed by our Shipping Policy and Return Policy, which are incorporated into this Wholesale Policy. In general:

• Shipping costs are the responsibility of the wholesale customer and will be added to your invoice or billed separately.

• Risk of loss passes to you once the order is delivered to the carrier or, in the case of local pickup, when the order is made available for pickup.

• Returns are limited, must be pre‑approved, and are subject to our standard restocking fees and conditions (including no returns on opened products).

6. Resale, Pricing, and Brand Protection

You remain free to set your own resale prices, but to protect our brand and market position, Amazing Garage Floors may communicate suggested pricing and brand guidelines. We reserve the right to:

• Provide recommended retail pricing and promotional guidance.

• Restrict resale in certain channels (such as third‑party marketplaces) if we deem it harmful to the brand.

• Terminate or decline to renew wholesale accounts that undermine our brand image, misrepresent our products, or create persistent pricing conflicts.

Any use of our trademarks, logos, or marketing materials must be accurate, professional, and in accordance with our brand guidelines, and may be revoked at any time.

7. Territory and Sales Channels

Unless we explicitly grant written exclusivity, no wholesale account is guaranteed any exclusive territory, customer base, or sales channel. We may supply products to other wholesalers, dealers, or retailers in the same market or region at our discretion.

If we do grant any territory or channel preferences, they are conditional on your ongoing performance, including ordering volume, payment history, and brand representation, and may be changed or revoked at any time.

8. Product Information, Use, and Liability

All Products sold to wholesale accounts are subject to our Product‑Use Notice and any manufacturer instructions, safety data sheets (SDS), and warranties. You are solely responsible for:

• Ensuring your staff and customers understand proper storage, installation, and use of the Products.

• Providing accurate information and safety warnings to your own customers.

• Complying with all applicable laws, codes, and regulations in the jurisdictions where you resell or use our Products.

Amazing Garage Floors will not be responsible for any claims, damages, or losses arising from your installation methods, misapplication, misrepresentation, or failure to follow manufacturer and safety instructions.

9. Intellectual Property and Marketing Materials

Any images, descriptions, technical documents, or marketing assets we provide remain our property (or that of our licensors) and may be used only to promote genuine Amazing Garage Floors products. You may not:

• Alter our trademarks or logos.

• Use our assets in a misleading or deceptive way.

• Imply you are Amazing Garage Floors or an exclusive representative unless expressly authorized in writing.

We may require you to update or remove marketing materials at any time, including online listings and printed collateral.

10. Account Compliance and Termination

By opening and maintaining a wholesale account, you agree to comply with this Wholesale Policy, our Terms of Use, Privacy & Data Protection Policy, Shipping Policy, Return Policy, and Product‑Use Notice.

Amazing Garage Floors may, at its sole discretion and without liability to you, do any of the following at any time:

• Modify this Wholesale Policy (changes apply to future orders).

• Suspend or terminate your wholesale account.

• Refuse new orders or cancel pending orders (with refund of any amounts paid for undelivered goods).

Continued ordering after we post or communicate policy changes constitutes your acceptance of the updated terms.
